Terms of Sale<\/strong><\/h1>\r\n\r\n\r\n\r\n

Terms of Sale and\r\nDelivery<\/strong><\/h3>\r\n\r\n\r\n\r\n

Goods sold by Bearing\r\nManufacturing India<\/strong> are expressly subject to the terms and\r\nconditions set forth below. Any different or additional terms or conditions set\r\nforth in buyer’s purchase order or similar communication are objected to and\r\nshall not be binding on Bearing Manufacturing India unless agreed to in writing\r\nby a Bearing Manufacturing India or its authorized representative. Buyer’s\r\nacceptance of shipment and\/or payment for the goods constitutes acceptance of Bearing\r\nManufacturing India’s terms and conditions.<\/p>\r\n\r\n\r\n\r\n

1. Order Acceptance<\/strong><\/h4>\r\n\r\n\r\n\r\n

Buyer acknowledges that all orders are subject to acceptance\r\nby Bearing Manufacturing India and no order shall be deemed accepted unless and\r\nuntil it is verified and accepted by Bearing ManufacturingIndia facility located in India.<\/p>\r\n\r\n\r\n\r\n

2. Price<\/strong><\/h4>\r\n\r\n\r\n\r\n

Prices in effect at time of shipment shall prevail. All\r\nprices quoted by Bearing Manufacturing\r\nIndia<\/strong> are subject to change without notice. Prices do not include any\r\npresent or future sales, value-added or similar taxes and, where applicable,\r\nsuch taxes shall be billed as a separate item and paid by Buyer. A late payment\r\ncharge of 1% per month<\/strong> (an annual\r\npercentage rate of 12%) shall be charged on all past due accounts and Buyer\r\nshall pay Bearing Manufacturing India all costs incurred by it in collecting\r\nany past due account from Buyer, including all court costs and legal fees,\r\nprovided, however, if the foregoing charges exceed that rate which may be\r\nlawfully charged under applicable law, then such charges shall be calculated so\r\nas not to exceed the highest lawful rate. Unless otherwise noted, all sales are\r\nmade exclusive of f.o.b. and, in all cases, title shall pass upon delivery to\r\nthe carrier at point of shipment and thereafter all risk of loss or damage\r\nshall be upon Buyer.<\/p>\r\n\r\n\r\n\r\n

3. Payment Terms<\/strong><\/h4>\r\n\r\n\r\n\r\n

As per the agreed terms between the buyer and Bearing Manufacturing India<\/strong>.<\/p>\r\n\r\n\r\n\r\n

4. Delivery<\/strong><\/h4>\r\n\r\n\r\n\r\n

Delivery dates given in advance of actual shipment are\r\nestimates and shall not be deemed to represent fixed or guaranteed delivery\r\ndates. Bearing Manufacturing India<\/strong>\r\nshall not be liable for failure to deliver or for delay in delivery or\r\nperformance due to (i) a cause beyond its reasonable control, or (ii) an act of\r\nGod, act or omission of Buyer, act of civil or military authority, governmental\r\npriority or other allocation or control, fire, strike or other labour\r\ndifficulty, riot or other civil disturbance, insolvency or other inability to\r\nperform by the manufacturer, delay in transportation, or (iii) any other\r\ncommercial impracticability. In the event of any such delay, the date of\r\ndelivery or performance shall be extended for a period equal to the time lost\r\nby reason of delay. Partial Deliveries are permissible to the extent such\r\npartial deliveries are not unreasonably burdensome for the purchaser.<\/p>\r\n\r\n\r\n\r\n

5. Change in Buyer’s\r\nFinancial Condition<\/strong><\/h4>\r\n\r\n\r\n\r\n

Bearing Manufacturing\r\nIndia<\/strong> reserves the right by written notice to cancel any order or require\r\nfull or partial payment or adequate assurance of performance from Buyer without\r\nliability to Bearing Manufacturing India in the event of (i) Buyer’s\r\ninsolvency, (ii) the filing of a voluntary petition in bankruptcy by Buyer,\r\n(iii) the appointment of a receiver or trustee for Buyer, or (iv) the execution\r\nby Buyer of an assignment for the benefit of creditors. Bearing Manufacturing\r\nIndia reserves the right to suspend its performance until such payment or\r\nadequate assurance of performance has been received. Bearing Manufacturing\r\nIndia also reserves the right to cancel Buyer’s credit at any time for any\r\nreason.<\/p>\r\n\r\n\r\n\r\n

Buyer, in order to provide security for the payment of the\r\nfull price of goods furnished hereunder, grants Bearing Manufacturing India a\r\nsecurity interest in the goods. Buyer agrees to execute any documents and\r\nfurnish information necessary to perfect this security interest.<\/p>\r\n\r\n\r\n\r\n

6. Warranties<\/strong><\/h4>\r\n\r\n\r\n\r\n

Bearing Manufacturing\r\nIndia<\/strong> makes no warranty and any and\r\nall implied warranties of merchantability or fitness are hereby excluded<\/strong>.\r\nBuyer is responsible for installation and use in accordance with manufacturer’s\r\ninstructions and Bearing Manufacturing India\r\nshall not be responsible for buyer’s improper product selection.<\/strong> Bearing\r\nManufacturing India personnel are not authorized to alter this policy.<\/p>\r\n\r\n\r\n\r\n

7. Limitation of\r\nLiability<\/strong><\/h4>\r\n\r\n\r\n\r\n

Bearing Manufacturing India’s liability on any claim for\r\nloss or damage arising out of this contract or from the performance or breach\r\nthereof or connected with the supplying of any goods hereunder, or the sale,\r\nresale, operation or use of such goods, whether based on contract, warranty,\r\ntort (including negligence) or other grounds, shall not exceed the price\r\nallocable to such goods or part thereof involved in the claim, regardless of cause or fault. This\r\nlimitation of liability reflects a deliberate and bargained-for allocation of\r\nrisks between applied and buyer and constitutes the basis of the parties’\r\nbargain, without which applied would not have agreed to the price or terms of\r\nthis contract. Bearing Manufacturing India <\/strong>shall not, under any\r\ncircumstances, be liable for any labour charges without its prior written\r\nconsent. Any cause of action by Buyer with respect to any goods or services\r\nsold by Applied must be instituted within one (1) year after the cause of\r\naction arose or be forever waived and barred.<\/p>\r\n\r\n\r\n\r\n

Bearing Manufacturing<\/strong>\r\nIndia shall not in any event be liable<\/strong>\r\nwhether as a result of breach of contract, warranty, tort (including\r\nnegligence) or other grounds (1)<\/strong> for incidental, indirect, special or\r\nconsequential damages <\/strong>including, but not limited to, loss of profits or\r\nrevenue, loss of use of the goods or any associated product, cost of capital,\r\ncost of substitute products, facilities or services, downtime costs, or claims\r\nof customers of Buyer for such damage; or (2)\r\nfor any claims, costs, expenses or damages arising from product failure<\/strong>. If\r\nBearing Manufacturing India furnishes Buyer with advice or other assistance\r\nwhich concern any goods supplied hereunder, or any system or equipment in which\r\nany such goods may be installed, and which is not required pursuant to this\r\ncontract, the furnishing of such advice or assistance will not subject Bearing\r\nManufacturing India to any liability, whether based on contract, warranty, tort\r\n(including negligence) or other grounds.<\/p>\r\n\r\n\r\n\r\n

8. Nuclear or Other\r\nHazardous Activities<\/strong><\/h4>\r\n\r\n\r\n\r\n

Unless specifically agreed to in writing by an authorized representative\r\nof Bearing Manufacturing India<\/strong>,\r\ngoods sold hereunder are not intended for use in connection with any nuclear\r\nfacility or any other hazardous activity such as military or commercial\r\naircraft, space exploration, missile installations or other critical\r\napplications where failure of a single component could cause substantial harm\r\nto persons or property. If so used, Bearing\r\nManufacturing India<\/strong> disclaims all liability for any nuclear damage,\r\ncontamination or other damage or injury and Buyer shall indemnify and hold Applied<\/strong> harmless from such liability\r\nwhether as a result of breach of contract, warranty, tort (including\r\nnegligence) or other grounds. Bearing\r\nManufacturing India<\/strong> and its suppliers shall not be liable to Buyer or its\r\ninsurers based on contract, warranty, tort (including negligence) or other\r\ngrounds for onsite damage to any property located at a nuclear facility.<\/p>\r\n\r\n\r\n\r\n

9. Cancellation<\/strong><\/h4>\r\n\r\n\r\n\r\n

Buyer may cancel an order only upon mutual agreement with Bearing Manufacturing India<\/strong> subject to\r\npayment to Bearing Manufacturing India<\/strong>\r\nof reasonable and proper cancellation charges.<\/p>\r\n\r\n\r\n\r\n

10. Returned Goods<\/strong><\/h4>\r\n\r\n\r\n\r\n

Goods may not be returned without the prior written consent\r\nof Bearing Manufacturing India<\/strong>.<\/p>\r\n\r\n\r\n\r\n

11. Assignment or\r\nDelegation<\/strong><\/h4>\r\n\r\n\r\n\r\n

Buyer shall not assign or delegate any or all of its duties\r\nor rights hereunder without the prior written consent of Bearing Manufacturing India<\/strong>.<\/p>\r\n\r\n\r\n\r\n

12. Language<\/strong><\/h4>\r\n\r\n\r\n\r\n

The parties hereby confirm their express desire to have this\r\nAgreement and all documents relating thereto to be drawn up in English only.<\/p>\r\n\r\n\r\n\r\n

13. Foreign Corrupt\r\nPractices Act<\/strong><\/h4>\r\n\r\n\r\n\r\n

Buyer acknowledges that it is not the agent of Bearing Manufacturing India<\/strong> and\r\nrepresents and warrants that it has not and covenants that it will not pay\r\nanything of value to any government employee in connection with the resale of\r\nthe products sold hereunder.<\/p>\r\n\r\n\r\n\r\n

14. Governing Law and\r\nJurisdiction<\/strong><\/h4>\r\n\r\n\r\n\r\n

This Site (excluding linked sites) is controlled by Bearing Manufacturing India<\/strong> from its\r\noffices within India. By accessing this Site, you and Bearing Manufacturing India<\/strong> agree that all matters relating to your\r\naccess to or use of, this Site and the validity and performance of these Terms\r\nshall be governed by the statutes and laws of India<\/strong>, without regard to the conflicts of laws principles thereof.\r\nThe parties also agree and hereby submit to the exclusive personal jurisdiction\r\nand venue of courts of India<\/strong>.<\/p>\r\n\r\n\r\n\r\n

Use of this Site is unauthorized in any jurisdiction that\r\ndoes not give full effect to all provisions of these Terms<\/strong>, including without limitation this provision and the warranty\r\nand disclaimer of liability exclusions herein.<\/p>\r\n\r\n\r\n\r\n

Bearing Manufacturing\r\nIndia<\/strong> makes no representation that materials, services or products\r\navailable on this Site are appropriate or is prohibited.<\/p>\r\n\r\n\r\n\r\n

15. General<\/strong><\/h4>\r\n\r\n\r\n\r\n

Any representation, affirmation of fact and course of\r\ndealing, promise or condition in connection therewith or usage of trade not\r\nincorporated herein, shall not be binding on either party. If any provision\r\nhereof shall be unenforceable, invalid or void for any reason, such provision\r\nshall be automatically voided and shall not be part of this agreement and the\r\nenforceability or validity of the remaining provisions of this agreement shall\r\nnot be affected thereby.<\/p>\r\n\r\n\r\n\r\n

16. Dispute\r\nResolution<\/strong><\/h4>\r\n\r\n\r\n\r\n

Actions by Bearing Manufacturing India for non-payment by\r\nthe Buyer for the purchase price of products sold by Bearing Manufacturing\r\nIndia through this Site or otherwise, or for redress of other breaches by the\r\nBuyer of the Terms and Conditions of Sale or Access, may be brought by Bearing\r\nManufacturing India, at its option, before any judicial court of competent\r\njurisdiction. At Bearing Manufacturing India\u2019s option, disputes between the\r\nBuyer and Bearing Manufacturing India, including all claims of non-performance\r\nby Bearing Manufacturing India, shall be finally settled by arbitration in\r\nIndia from the respective Court where from Sales\r\nInvoice<\/strong> was raised. Any cause of action by Buyer with respect to products\r\nsold by Bearing Manufacturing India must be instituted within one (1) Month after\r\nthe cause of action arose or be forever waived and barred.<\/p>","protected":false},"excerpt":{"rendered":"
